Terms & Conditions

These Terms & Conditions (“Terms”) govern access to and use of the InnGenius AI hotel operating system (the “Service”), provided by InnGenius AI LLC (“InnGenius AI,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms.

1. The Service

InnGenius AI provides AI-assisted workspaces covering hotel operations, labor, sales, finance, and ownership reporting, sized and priced according to the plan and property count on your account.

2. Accounts

You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your login credentials, and for all activity that occurs under your account.

3. Subscriptions and Billing

Paid plans are billed in advance on a recurring basis as described at checkout or in your order form. Founding pricing, where offered, is locked to the property count and plan in effect at signup for as long as the subscription remains active and in good standing.

Fees are non-refundable except where required by law or expressly stated otherwise in writing.

4. Acceptable Use

You agree not to misuse the Service, including by attempting to access data you are not authorized to see, interfering with the Service’s operation, or using the Service in violation of applicable law.

5. Your Data

You retain ownership of the operational and financial data you submit to the Service (“Customer Data”). You grant us a limited license to process Customer Data solely to provide, secure, and improve the Service.

6. Third-Party Integrations

The Service may connect to third-party systems you choose to authorize, such as a PMS or payroll provider. We are not responsible for the availability or accuracy of third-party systems outside our control.

7. Intellectual Property

InnGenius AI retains all rights in the Service, including its software, workspaces, and underlying models. Nothing in these Terms transfers ownership of our intellectual property to you.

8. Disclaimers

The Service is provided “as is.” While we design the platform to reduce manual error, outputs from automated workspaces should be reviewed as part of your normal internal controls, and we do not guarantee the Service will be uninterrupted or error-free.

9. Limitation of Liability

To the maximum extent permitted by law, InnGenius AI will not be liable for indirect, incidental, or consequential damages arising from use of the Service, and our total liability will not exceed the fees paid for the Service in the twelve months preceding the claim.

10. Termination

You may cancel your subscription at any time. We may suspend or terminate access for material breach of these Terms, including non-payment, following notice and a reasonable opportunity to cure where practical.

11. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of law principles.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
